1. SPONSORSHIP OF THE CONTEST:

The sponsor is the North American Enduro Cup (“NAEC” or “Sponsor”), located at 128 North Ave, Kellogg, Idaho 83837. Sponsor will conduct the Contest substantially as described in the Rules set forth in these Terms and Conditions.

2. ELIGIBILITY:

The NAEC Privateers Contest (“Contest”) is open to women who are legal residents of the United States excluding residents of New York, Florida, Rhode Island, and Arizona, who create an Instagram Reel and tag the Sponsor. Entrants must be 18 years of age or older as of their date of entry in this promotion in order to qualify. Entrants may not be sponsored. Entrants must be able to attend the 2024 NAEC, June 15-16,2024. This Contest is subject to federal, state, and local laws and regulations and void where prohibited by law. The NAEC, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively, a “Related Party”), as well as members of a Related Party’s immediate family and/or those living in the same household of a Related Party are ineligible to participate in the NAEC Privateers Contest.

3. AGREEMENT TO THESE RULES:

By entering this Contest, the Entrant (“You”, “Your”, and “Yourself”) agrees to abide by the Rules as set forth in these Terms and Conditions and the Sponsor’s decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering this Contest, You represent and warrant that You are eligible to participate based on eligibility requirements explained in these Terms and Conditions. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the content of the NAEC Privateers Contest.

4. NAEC PRIVATEERS CONTEST ENTRY PERIOD:

This Contest begins on March 1, 2024, at 12:01 AM PST and ends on April 21, 2024 at 11:59 PM PST (“Entry Period”). To be eligible for the Contest, entries must be received within the specified Entry Period.

​

5. HOW TO ENTER:

Eligible entrants can enter The NAEC Privateers Contest by creating a Reel on Instagram. The Reel must include the hashtag #NAECPrivateers and tag @northamericanendurocup. The content of the Reel is up to You but should show your best clips that highlight who You are and Your passion for mountain biking and mountain bike racing. The Caption of the Reel should include a few words about Yourself, why You want to pursue mountain bike racing, what Your racing goals are for the 2024 racing season, and why You’re the best choice to win the NAEC Privateers Contest.

As a participant, your entry must fully meet all Contest requirements, as specified in these Rules, in order to be eligible to be selected to win a prize. Incomplete entries or those that do not adhere to the Rules or specifications will be disqualified at the Sponsor's sole discretion.

​

Only one Reel per Participant will be considered by the Board for selection of an award. Any fraudulent methods of entry or circumvention of the Rules may result in the Sponsor invalidating Your entry and removing them from the Contest at the Sponsor’s sole discretion.

​

6. AWARDS:

There is one Top Award Winner and two Runners Up Award Winners (collectively, the “Winners”).  The Winners must complete a Form W-9 and provide the Sponsor with a valid Social Security number or taxpayer-identification number before the Sponsor will make an award. A Form 1099 will be issued to the Winners of the NAEC Privateers Contest.

One Top Award will be awarded to the Top Award Winner of the NAEC Privateers Contest. The Top Award Winner will receive:

2024 Transition Spire Carbon Frame, Shimano XT Drivetrain, Brakes, Wheels, Pedals (choice of XT clips or XT flats), Fox Suspension Fork and Rear Shock; Aurum Suspension Setup Session at the 2024 NAEC, Custom Tune Available after the 2024 North American Enduro Cup (to be scheduled with Aurum Suspension by the Winner); Pro Components Handlebars, Stem, Grips, Dropper, Dropper Lever, Saddle, Tools; Six Schwalbe Tires for the 2024 Race Season (two installed on the wheels and delivered to the Winner and four tires to be picked up by the Winner at the 2024 NAEC); Pearl Izumi Gloves (two pairs), Jersey Tops (two), Bottoms (two), Socks (two pairs), Elbow and Knee Guards, Outerwear Top and Bottom; Shimano GE9 or GF6 Shoes (one pair); Smith Optics Wildcat Glasses and Squad MTB Goggles (two pairs of each); Lazer Helmets Jackal Half Shell Helmet and Cage or Chase Full Face Helmet; Two Entries to the 2024 NAEC Including Three Nights Lodging and Lift Tickets at Silver Mt. Resort for the NACE race weekend, June 14-16, 2024; Two Season Passes to the Cascadia Dirt Cup; Two Season Passes to the 2024 Montana Enduro Series; and $1,000 Cash from the NAEC for 2024 Racing Expenses. Except as provided above, the prizes will be shipped to a US address provided by the Winner. Approximate Value of Top Award: $15,832.00.

Two Runners Up Awards will be awarded to two Runners Up Award Winners of the NAEC Privateers Contest. Each of the two Runners Up Award Winners will receive:

Shimano XT Drivetrain and Brakes; Pro Components Handlebars, Stem, Grips, Dropper, Dropper Lever, Saddle, Bicycle Tools; Aurum Suspension Setup Session available at the 2024 North American Enduro Cup, June 14-16, 2024, in Kellogg, Idaho; Smith Optics: Wildcat Glasses and Squad MTB Goggles; One entry to the 2024 NAEC Including Lift Tickets; One Season Pass for the 2024 Cascadia Dirt Cup, One Season Pass for the 2024 Montana Enduro Series. Approximate Value of Each Runner Up Award: $4,419.50.

The actual/appraised value of the Top Award and Two Runners Up Awards (collectively, “Awards”) may differ at the time the prize is awarded. The prize(s) shall be determined solely by the Sponsor. There shall be no cash or other prize substitution permitted except at the Sponsor’s discretion. The prizes are non-transferable. The Winners, upon acceptance of the prize, are solely responsible for all expenses related to the prize, including without limitation any and all local, state, and federal taxes. Additionally, the Winners must, prior to receiving any Awards, complete a Form W-9 (to be provided by the Sponsor). The Winners shall not transfer assignment of the prize to others nor shall the Winner request the cash equivalent or prize substitution. By accepting the prize, the selected Winners grants permission for the Sponsor to use the Winners’ likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law. If Winners are unable to attend the 2024 NAEC in Kellogg, Idaho, on June 15-16, 2024, the portion of the prize(s) which is to be delivered at the 2024 NAEC will be forfeited.

7. ODDS:

The total number of eligible entries received determines the odds of winning.

8. SELECTION AND NOTIFICATION OF WINNERS:

The Winners will be selected by a panel of judges (“the Board”) assessing the Reels under the supervision of the Sponsor. The Board’s membership can be found at www.naenduro.com/privateers. The Winners will be announced by April 30, 2024. The Sponsor will notify the Winners through Instagram direct message within five days following the Board’s selection of the Winners. The Sponsor is not responsible for and shall have no liability for a Winner’s failure to receive notices due to Instagram security settings that may cause notifications to be marked as spam. The Sponsor shall not be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner 1) fails to claim the prize within five (5) days from the time the award notification was sent, 2) is found ineligible, or 3) does not complete and return an executed Form W-9 within the specified timeframe, the prize may be forfeited and an alternate Winner may be selected.

​

Receipt of an award offered in the NAEC Privateers Contest by a Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE RULES OR TERMS AND CONDITIONS, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

9. RIGHTS GRANTED BY YOU:

By submitting a Reel into this Contest, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the NAEC Privateers Contest, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.

By submitting a Reel, you are attesting that Your Reel contains original work and/or not violate anyone’s proprietary or intellectual property rights. If your Reel infringes upon the intellectual property rights of others, you will be disqualified, and, if you have already accepted an Award, be required to return the Award to the Sponsor, and You shall defend or settle against such claims at your sole expense, and You shall indemnify, defend and hold harmless the Sponsor from any suit, etc. resulting from your violation of another’s proprietary or intellectual property rights.

10. TERMS & CONDITIONS:

In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the NAEC Privateers Contest should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the NAEC Privateers Contest. The Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Individuals who tamper with or attempt to tamper with the operation or entry process of the NAEC Privateers Contest or website or violates these Terms & Conditions will be disqualified by the Sponsor in its sole discretion. In its sole discretion, the Sponsor has the right to maintain the integrity of the NAEC Privateers Contest, to void votes for any reason, including, but not limited to: multiple entries from the same user; or the use of artificial intelligence, bots, macros, scripts, or other technical means for entering or creating an entry. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the NAEC Privateers Contest may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

11. LIMITATION OF LIABILITY:

Your entry into the NAEC Privateers Contest constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the NAEC Privateers Contest and/or the 1) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries.

 

12. DISPUTES:

THIS NAEC PRIVATEERS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF IDAHO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Entrant agrees, as a condition of participating in this promotion, that if any disputes cannot be resolved between the Entrant and the Sponsor, and if causes of action arise out of or are connected with this Contest, they shall be individually resolved exclusively before a court located in Idaho having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this NAEC Privateer Contest). The participant waives all rights to have damages multiplied or increased.

13. PRIVACY POLICY:

The North American Enduro Cup will not use any information collected through this Contest for any purpose except as provided in these Terms and Conditions. 15. INSTAGRAM RULES:

The North American Enduro Cup is the organizer of this Contest. The Contest is in no way sponsored, endorsed, or administered by, or associated with, Facebook or Instagram.

 

16. AFFIRMATION AND AGREEMENT TO THE ABOVE:

By submitting a Reel to enter into the NAEC Privateers Contest, You, the Entrant, have affirmatively reviewed, accepted, and agreed to all of these Rules and Terms and Conditions.
